Terms of Service

Effective date: July 5, 2026 · Operator: Clay Nation LLC (“Momager,” “we,” “us”)

1. Agreement

By creating an account or using momager.app (the “Service”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Momager helps users organize gigs, contracts, payments, and related career workflows. Momager is not a law firm and does not provide legal, financial, tax, or career advice. AI-generated outputs are informational only. You are responsible for decisions you make and documents you send.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. If you use the Service on behalf of a minor artist, you represent that you are their parent, guardian, or authorized manager.

4. Accounts

You are responsible for safeguarding your credentials and all activity under your account. Notify us promptly of unauthorized access. We may suspend accounts that violate these Terms or pose security risk.

5. Subscriptions and billing

Plans

We offer a free tier with limited features and a paid “Pro” subscription with additional features. Plan details are shown at signup and on our pricing page.

Free trial

Pro may include a free trial period. Unless you cancel before the trial ends, your payment method will be charged at the then-current rate when the trial expires.

Payment processing

Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel through the billing portal or we terminate access.

Cancellation

You may cancel anytime via Profile → Manage billing. Cancellation takes effect at the end of the current billing period unless otherwise stated. We do not guarantee refunds except where required by law.

Price changes

We may change prices with reasonable notice. Continued use after a price change constitutes acceptance.

6. Acceptable use

You agree not to:

Violate any law or third-party rights
Upload malware, attempt unauthorized access, or interfere with the Service
Scrape, reverse engineer, or resell the Service without permission
Use the Service to store or process data you lack rights to process
Misrepresent AI output as professional legal advice

7. Your content

You retain ownership of User Content. You grant us a limited license to host, process, and display User Content solely to operate and improve the Service, including running features you request (such as contract analysis). You represent that you have all rights necessary to upload User Content.

8. Intellectual property

Momager, its logos, software, and documentation are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or brand assets.

9. Third-party services

The Service integrates third parties (including Supabase, Stripe, and AI providers). Your use of those services may be subject to their terms. We are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMAGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You will defend and indemnify us against claims arising from your User Content, your use of the Service, or your violation of these Terms.

13. Termination

You may delete your account at any time in Profile settings. We may suspend or terminate access for breach, non-payment, or to protect the Service. Sections that by nature should survive termination will survive.

14. Dispute resolution

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Except where prohibited, disputes will be resolved in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.

15. Changes

We may modify these Terms. Material changes will be posted with an updated effective date. Continued use after changes constitutes acceptance.
